RevisedandadoptedattheFourthMeetingoftheFifthSessionoftheBeijingArbitrationCommissiononJanuary20,2009.EffectiveasfromMarch1,2009
Article1ConstructionDisputeBoardRules(hereinafterreferredtoasthe
Rules)isformulatedbytheBeijingArbitrationCommission(hereinafterreferredtoastheBAC)forthepurposeofpreventing,reducingandtimelyresolvingdisputesarisingoutoftheconstructioncontract.TheRulesprovidefortheapplicationofthedisputereviewandshallbebindinguponagreementbythepartiestoapplytheRules,unlessotherwiseagreedbytheparties.
Article2DisputereviewintheRulesisthemeanstoresolvedisputewith
thedeterminationfromtheDisputeBoard(hereinafterreferredtoastheDB)posedofexpertstowhichthepartiessubmitdisputesarisingoutoftheperformanceofthecontractregardingconstructionprojects(includingbutnotlimitedtoprospectingcontract,designcontract,constructioncontract,supervisioncontract,projectmanagementcontract,andanyotherformsofcontracts).
ThepartiesshallagreeonthescopeandbindingeffectofthedeterminationmadebytheDBbeforeitposed.Orifnot,theRulesshallapply.
1 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article3TheDBshallbeestablishedinordancewiththeagreementof theparties,or,ifnot,inordancewiththeprovisionsoftheRules. Article4TheDBshallposedofthreeexpertsexperiencedin contractmanagementandengineering,unlessthenumberofDBexpertsisotherwiseagreedbytheparties. TheBACmaintainsapanelofmendedexperts.TheDBexpertmaybechosenbythepartiesfromeitherinsideoroutsidethePanelofDBexpertsmaintainedbytheBAC. Article5EachpartyshallappointitsDBexpertwithin28daysafterthe commencementoftheconstructionprojector14daysafteroneparty’sreceiptofnoticeofreferraltoDBfordisputeresolutionfromtheotherparty.TheChairmanoftheBACmayappointDBexpertsupontherequestofonepartyorpartiesifanypartyfailstoappointitsDBexpertwithinthetimelimit,unlessotherwiseagreedbytheparties. ThethirdDBexpertshallbenominatedbythetwoaforementionedDBexpertsandjointlyagreedbytheparties.IfthetwoDBexpertsfailtonominatethethirdDBexpertwithin5daysfollowingtheirappointmentorifthepartiesfailtoagreeontheappointmentofthethirdDBexpertwithin5daysfollowingthereceiptofnominationofprospectiveDBexpert,theChairmanoftheBACmayappointthethirdDBexpertupontherequestofonepartyorparties.ThethirdDBexpertshallbethechairmanoftheDB.
2 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article6WherethepartieshaveagreedthattheDBshallhaveasoleDB expert,theyshalljointlyappointthesoleDBexpertwithin28daysaftermencementoftheconstructionprojector14daysafteroneparty’sreceiptofnoticeofreferraltoDBfordisputeresolutionfromtheotherparty,unlessotherwiseagreedbytheparties.IfpartiesfailtoappointtheDBexpertwithinthetimelimit,theChairmanoftheBACmayappointtheexpertupontherequestofonepartyorparties. Article7UpontheappointmentofDBexperts,allthepartiesshallsign DisputeBoardExpertAgreementwitheachindividualDBexpertregardingissuesincludingbutnotlimitedtothescopeofdisputefordisputereview,theresponsibilityoftheDB,thebindingeffectofDBdetermination,andcalculationandscheduleforpensationofDBexperts.UnlessotherwiseagreedbythepartiesandtheDBexpertsconcerned,iftherearemorethantwoDBexperts,eachDisputeBoardExpertAgreementshallhavesubstantivetermsthatareidenticaltotheotherDisputeBoardExpertAgreements. ThepartiesmayatanytimejointlyterminateDisputeBoardExpertAgreementofanyDBexpertbutshallpaytheMonthlyRetainerFeetosuchDBexpertforaminimumofthreemonthsfollowingthetermination,unlessotherwiseagreedbythepartiesandtheDBexpertsconcerned.IndividualDBexpertmayterminateDisputeBoardExpertAgreementatanytimeuponnotlessthanthreemonthsnoticeinwritingtotheparties,unlessotherwiseagreedbythepartiesandtheDBexpertsconcerned.
3 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article8 UpontheestablishmentoftheDB,theDBexpertsshallsignadeclarationofindependenceandimpartialityandsendittoallparties. IfaDBexpertisawareofanycircumstancesrelatingtothepartieswhichmightbeofsuchnatureastocallintoquestiontheDBexpert’sindependenceandimpartialityintheeyesoftheparties,theDBexpertshalldisclosethosecircumstancesinwriting.UnlessallpartiesclearlyexpresstheagreementtokeeptheDBexpertintheDBwithin15daysafterreceivingthedisclosureinwriting,theDBexpertshallwithdraw. ShouldanypartywishtochallengeaDBexpertonthebasisofanycircumstancesrelatingtothepartieswhichmightbeofsuchnatureastocallintoquestiontheDBexpert’sindependenceandimpartialityintheeyesoftheparties,itmay,within15daysoflearningofthecircumstancesuponwhichthechallengeisbased,submittotheBACarequestforthewithdrawaloftheDBexpertinwriting. WhenapartychallengesaDBexpertandtheotherpartyagreestothechallenge,orthechallengedDBexpertwithdrawsvoluntarilyuponbeinginformedofthechallenge,suchDBexpertshallnolongerparticipateinthedisputereview.Inneithercasedoesitimplyeptanceofthevalidityofthegroundsforthechallenge.TheChairmanoftheBACshalldecideonthechallenge,exceptintheaforementionedsituation. IfaDBexpertwithdrawsfromthedisputereview,thatDBexpert’sDisputeBoardExpertAgreementwiththepartiesshallbeterminatedforthwith.TheresultingvacancyshallbefilledfollowingtheprocedureusedtoappointthechallengedDBexpert,unlessotherwiseagreedbytheparties.
4 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article9ADBexpertshallbereplacediftheDBexpertesunableto fulfillfunctionsinanormalorappropriatemannerasaresultofdisease,jointrequestfromthepartiestowithdraworanyotherreasons. ThenewDBexpertshallbeappointedinthesamemannerastheDBexpertbeingreplaced,unlessotherwiseagreedbytheparties. AllactionstakenbytheDBexpertbeingreplacedpriortohis/herreplacementshallremainvalid.WhentheDBposedofthreeDBexpertsandoneoftheDBexpertswithdraws,theothertwoshallcontinuetobeDBexperts.PriortotheappointmentofthenewDBexpert,nodisputereviewactivitiesshallbeproceeded,unlessexplicitlyagreedbyallparties. Article10TheDBmaymakeperiodicorunscheduledsitevisitsinthecourse ofconstructiontokeepinformedoftheprogresswhendeemednecessary. Article11ApartyreferringadisputetotheDBshallsubmitanApplication inwritingtotheDBandsendittotheotherpartyandprojectsupervisor. AnApplicationforDBshouldincludebutnotbelimitedto:1.adescriptionoffactsandcircumstancesofthedispute;2.alistoftheissuessubmittedtotheDBforthedetermination;

TheApplicationforDBshallbepaniedbydocuments,drawingsandothersupportingmaterials. Article12TherespondingpartyshallsubmitResponseandopinion statementfordisputeresolutioninwritingpaniedbysupportingmaterialswithin28daysofreceivingtheApplicationfordisputereviewfromthereferringparty. Theaforementionedmaterialsshallbesenttothereferringpartyandtheprojectsupervisor. AnyfailureoftherespondingpartytosubmitResponseshallnotpreventtheprogressofdisputereview. Article13TheDBshallholdahearingwithin14daysaftertheexpirationof thetimelimitforResponsefromtherespondingpartyandinformpartiesofthehearing.Thepartiesmayattendthehearingthroughtheirrepresentatives. Ifthereferringpartyfailstoappearatthehearingwithoutanyjustifiablereason,theDBmaydecidetoterminatethedisputereview;iftherespondingpartyfailstoappearatthehearingwithoutanyjustifiablereason,theDBmaydecidetoproceedwiththehearing.
6 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article14AllDBexpertsshallattendthehearing.Unlessagreedotherwise bytheparties,theDBshallnotholdthehearingintheabsenceofanyDBexpert. Article15TheDBmayapplyanyprocedureormeasureasappropriateto acquireinformationofthedisputeonthebasisoffullconsiderationofthecircumstancewherethedisputearises,theintentionofthepartiesandthenecessityforaquickresolutionofdispute,includingbutnotlimitedto: 1.questiontheparties;2.requiresupplementarymaterialsorwrittenstatementsfromtheparties;3.conductsitevisit;4.takeothermeasurestoensurenormaloperationoftheDB. Article16ThepartiesshallcooperatewiththeDBandprovidenecessary assistance. Article17TheDBshalltreatthepartiesequallyandimpartiallyandgive eachpartyareasonableopportunitytopresentitscaseandavoidunnecessarydelayandexpenses.
7 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission UnlessactinordancewiththeagreementwiththepartiesorperformthedutyoftheDBexpertpursuanttotheRules,aDBexpertshallnotgiveadvisoryopinionstopartiesregardingissuesirrelevanttothedispute,letaloneactasanadvisorofaparty. Article18ADBexpertshallkeepconfidentialanyinformationinthecourse ofDB’sactivities.ADBexpertshallnotactinanylitigationorarbitration proceedingsinthecourseoforafterpletionDB’sactivitiesregardingthedisputeorrelatingtothedispute,whetherasanarbitrator,asawitness,orasarepresentativeofaparty. Article19DBshallissueadeterminationinwriting,withreasonsupon whichitisbasedwithin14daysfollowingthehearing,unlessthetimelimitforthedeterminationisotherwiseagreedbytheparties. Article20WhentherearethreeDBexperts,thedeterminationoftheDB shallbemadebyamajoritydecision.Ifthereisnomajority,thedeterminationshallbemadebythechairmanoftheDB. ThedeterminationshallbesignedbytheDBexperts.TheDBexpertwhodisagreeswiththedeterminationmaychoosenottosignbutshallissuepersonalopinioninaseparateforminwriting,whichshallbesenttothepartiestogetherwiththedeterminationbutdoesnotformpartofthedetermination.AnyfailureofadissentingDBexperttoissuepersonalopinionshallnotpreventtheissuingofthedetermination.
8 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article21Anypartythatisdissatisfiedwithadeterminationshall,within14 daysofreceivingit,sendawrittennoticeexpressingitsdissatisfactiontotheDBandtheotherparty.Thedeterminationshallnotbebindingifanypartyexpressesitsdissatisfactionwithintheaboveprescribedtimelimit.Ifnopartyexpressesdissatisfactionwiththedeterminationwithintheaboveprescribedtimelimit,thedeterminationshallbebindingonparties.Thepartiestothedisputeplywiththedetermination. Ifthepartiesagreethatthedeterminationshallbebindinguponthedateitisissuedorthedatethepartiesreceiveit,thepartiesplywithitevenifanypartyexpressesitsdissatisfactionwithin14daysofreceivingit.Thedeterminationshallbebindinguntilreversedbysubsequentarbitraltribunalorcourtreferredtobytheparties. IfthedeterminationisnotbindingonpartiesoriftheDBdoesnotissuethedeterminationwithinthetimelimitprescribedinArticle19,oriftheDBisdisbandedpursuanttotheRulesbeforethedeterminationregardingthedisputehasbeenissued,thepartiesmaysubmitthedisputeforfinalsettlementbyarbitrationorlitigation. Article22TheDBshallterminateitsfunctionupontheexpirationofDispute BoardExpertAgreement.ForanydisputessubmittedtotheDBwithinthetimelimit,theDBshallmakethedetermination. AnydisputewhichmayariseaftertheDBhasterminateditsfunctionorhasbeendisbandedmaybereferredtoarbitrationorlitigationforresolution.
9 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article23TheDBexpertsshallnotbeliableforanyDBactivityproceeded pursuanttotheRules,unlessevidenceshowsthattheDBactivityhasviolatedprovisionsoftheRules. NeithertheBACnoritsemployeesshallbeliablefortheconsequencesfollowingtheapplicationoftheRulesorforanymanagementissuessuchastheappointmentoftheDBexpertsandthedeterminationonterminationoftheDBexpert. Article24ThepartiesshallmakepaymentstotheDBexpertsinordance withtheagreementwiththeDBexpertsregardingtheamountandtimeofpayment.Ifthepartiesfailtomakepayment,theDBmaydecidetosuspendtheDBreview. WhereadministrativecostsandexpensesoftheBACincurinthedisputereview,thepartiesshallmakethepaymentpursuanttotheprovisionsofConstructionDisputeBoardFeeScheduleissuedbytheBAC. Theaforementionedpaymentshallbeequallybornebytheparties,unlessotherwiseagreedbythepartiesorstipulatedbyConstructionDisputeBoardFeeScheduleoftheBeijingArbitrationCommission. Article25ThepowertointerprettheseRulesisvestedintheBAC. Article26TheRulesareeffectiveasofMarch1,2009. 10

ThethirdDBexpertshallbenominatedbythetwoaforementionedDBexpertsandjointlyagreedbytheparties.IfthetwoDBexpertsfailtonominatethethirdDBexpertwithin5daysfollowingtheirappointmentorifthepartiesfailtoagreeontheappointmentofthethirdDBexpertwithin5daysfollowingthereceiptofnominationofprospectiveDBexpert,theChairmanoftheBACmayappointthethirdDBexpertupontherequestofonepartyorparties.ThethirdDBexpertshallbethechairmanoftheDB.
2 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article6WherethepartieshaveagreedthattheDBshallhaveasoleDB expert,theyshalljointlyappointthesoleDBexpertwithin28daysaftermencementoftheconstructionprojector14daysafteroneparty’sreceiptofnoticeofreferraltoDBfordisputeresolutionfromtheotherparty,unlessotherwiseagreedbytheparties.IfpartiesfailtoappointtheDBexpertwithinthetimelimit,theChairmanoftheBACmayappointtheexpertupontherequestofonepartyorparties. Article7UpontheappointmentofDBexperts,allthepartiesshallsign DisputeBoardExpertAgreementwitheachindividualDBexpertregardingissuesincludingbutnotlimitedtothescopeofdisputefordisputereview,theresponsibilityoftheDB,thebindingeffectofDBdetermination,andcalculationandscheduleforpensationofDBexperts.UnlessotherwiseagreedbythepartiesandtheDBexpertsconcerned,iftherearemorethantwoDBexperts,eachDisputeBoardExpertAgreementshallhavesubstantivetermsthatareidenticaltotheotherDisputeBoardExpertAgreements. 3 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article8 UpontheestablishmentoftheDB,theDBexpertsshallsignadeclarationofindependenceandimpartialityandsendittoallparties. IfaDBexpertisawareofanycircumstancesrelatingtothepartieswhichmightbeofsuchnatureastocallintoquestiontheDBexpert’sindependenceandimpartialityintheeyesoftheparties,theDBexpertshalldisclosethosecircumstancesinwriting.UnlessallpartiesclearlyexpresstheagreementtokeeptheDBexpertintheDBwithin15daysafterreceivingthedisclosureinwriting,theDBexpertshallwithdraw. ShouldanypartywishtochallengeaDBexpertonthebasisofanycircumstancesrelatingtothepartieswhichmightbeofsuchnatureastocallintoquestiontheDBexpert’sindependenceandimpartialityintheeyesoftheparties,itmay,within15daysoflearningofthecircumstancesuponwhichthechallengeisbased,submittotheBACarequestforthewithdrawaloftheDBexpertinwriting. WhenapartychallengesaDBexpertandtheotherpartyagreestothechallenge,orthechallengedDBexpertwithdrawsvoluntarilyuponbeinginformedofthechallenge,suchDBexpertshallnolongerparticipateinthedisputereview.Inneithercasedoesitimplyeptanceofthevalidityofthegroundsforthechallenge.TheChairmanoftheBACshalldecideonthechallenge,exceptintheaforementionedsituation. IfaDBexpertwithdrawsfromthedisputereview,thatDBexpert’sDisputeBoardExpertAgreementwiththepartiesshallbeterminatedforthwith.TheresultingvacancyshallbefilledfollowingtheprocedureusedtoappointthechallengedDBexpert,unlessotherwiseagreedbytheparties.
4 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article9ADBexpertshallbereplacediftheDBexpertesunableto fulfillfunctionsinanormalorappropriatemannerasaresultofdisease,jointrequestfromthepartiestowithdraworanyotherreasons. ThenewDBexpertshallbeappointedinthesamemannerastheDBexpertbeingreplaced,unlessotherwiseagreedbytheparties. AllactionstakenbytheDBexpertbeingreplacedpriortohis/herreplacementshallremainvalid.WhentheDBposedofthreeDBexpertsandoneoftheDBexpertswithdraws,theothertwoshallcontinuetobeDBexperts.PriortotheappointmentofthenewDBexpert,nodisputereviewactivitiesshallbeproceeded,unlessexplicitlyagreedbyallparties. Article10TheDBmaymakeperiodicorunscheduledsitevisitsinthecourse ofconstructiontokeepinformedoftheprogresswhendeemednecessary. Article11ApartyreferringadisputetotheDBshallsubmitanApplication inwritingtotheDBandsendittotheotherpartyandprojectsupervisor. AnApplicationforDBshouldincludebutnotbelimitedto:1.adescriptionoffactsandcircumstancesofthedispute;2.alistoftheissuessubmittedtotheDBforthedetermination;

Article12TherespondingpartyshallsubmitResponseandopinion statementfordisputeresolutioninwritingpaniedbysupportingmaterialswithin28daysofreceivingtheApplicationfordisputereviewfromthereferringparty. Theaforementionedmaterialsshallbesenttothereferringpartyandtheprojectsupervisor. AnyfailureoftherespondingpartytosubmitResponseshallnotpreventtheprogressofdisputereview. Article13TheDBshallholdahearingwithin14daysaftertheexpirationof thetimelimitforResponsefromtherespondingpartyandinformpartiesofthehearing.Thepartiesmayattendthehearingthroughtheirrepresentatives. Ifthereferringpartyfailstoappearatthehearingwithoutanyjustifiablereason,theDBmaydecidetoterminatethedisputereview;iftherespondingpartyfailstoappearatthehearingwithoutanyjustifiablereason,theDBmaydecidetoproceedwiththehearing.
6 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article14AllDBexpertsshallattendthehearing.Unlessagreedotherwise bytheparties,theDBshallnotholdthehearingintheabsenceofanyDBexpert. Article15TheDBmayapplyanyprocedureormeasureasappropriateto acquireinformationofthedisputeonthebasisoffullconsiderationofthecircumstancewherethedisputearises,theintentionofthepartiesandthenecessityforaquickresolutionofdispute,includingbutnotlimitedto: 1.questiontheparties;2.requiresupplementarymaterialsorwrittenstatementsfromtheparties;3.conductsitevisit;4.takeothermeasurestoensurenormaloperationoftheDB. Article16ThepartiesshallcooperatewiththeDBandprovidenecessary assistance. 7 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission UnlessactinordancewiththeagreementwiththepartiesorperformthedutyoftheDBexpertpursuanttotheRules,aDBexpertshallnotgiveadvisoryopinionstopartiesregardingissuesirrelevanttothedispute,letaloneactasanadvisorofaparty. Article18ADBexpertshallkeepconfidentialanyinformationinthecourse ofDB’sactivities.ADBexpertshallnotactinanylitigationorarbitration proceedingsinthecourseoforafterpletionDB’sactivitiesregardingthedisputeorrelatingtothedispute,whetherasanarbitrator,asawitness,orasarepresentativeofaparty. Article19DBshallissueadeterminationinwriting,withreasonsupon whichitisbasedwithin14daysfollowingthehearing,unlessthetimelimitforthedeterminationisotherwiseagreedbytheparties. Article20WhentherearethreeDBexperts,thedeterminationoftheDB shallbemadebyamajoritydecision.Ifthereisnomajority,thedeterminationshallbemadebythechairmanoftheDB. ThedeterminationshallbesignedbytheDBexperts.TheDBexpertwhodisagreeswiththedeterminationmaychoosenottosignbutshallissuepersonalopinioninaseparateforminwriting,whichshallbesenttothepartiestogetherwiththedeterminationbutdoesnotformpartofthedetermination.AnyfailureofadissentingDBexperttoissuepersonalopinionshallnotpreventtheissuingofthedetermination.
8 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article21Anypartythatisdissatisfiedwithadeterminationshall,within14 daysofreceivingit,sendawrittennoticeexpressingitsdissatisfactiontotheDBandtheotherparty.Thedeterminationshallnotbebindingifanypartyexpressesitsdissatisfactionwithintheaboveprescribedtimelimit.Ifnopartyexpressesdissatisfactionwiththedeterminationwithintheaboveprescribedtimelimit,thedeterminationshallbebindingonparties.Thepartiestothedisputeplywiththedetermination. Ifthepartiesagreethatthedeterminationshallbebindinguponthedateitisissuedorthedatethepartiesreceiveit,thepartiesplywithitevenifanypartyexpressesitsdissatisfactionwithin14daysofreceivingit.Thedeterminationshallbebindinguntilreversedbysubsequentarbitraltribunalorcourtreferredtobytheparties. IfthedeterminationisnotbindingonpartiesoriftheDBdoesnotissuethedeterminationwithinthetimelimitprescribedinArticle19,oriftheDBisdisbandedpursuanttotheRulesbeforethedeterminationregardingthedisputehasbeenissued,thepartiesmaysubmitthedisputeforfinalsettlementbyarbitrationorlitigation. Article22TheDBshallterminateitsfunctionupontheexpirationofDispute BoardExpertAgreement.ForanydisputessubmittedtotheDBwithinthetimelimit,theDBshallmakethedetermination. AnydisputewhichmayariseaftertheDBhasterminateditsfunctionorhasbeendisbandedmaybereferredtoarbitrationorlitigationforresolution.
9 ConstructionDisputeBoardRulesoftheBeijingArbitrationCommission Article23TheDBexpertsshallnotbeliableforanyDBactivityproceeded pursuanttotheRules,unlessevidenceshowsthattheDBactivityhasviolatedprovisionsoftheRules. NeithertheBACnoritsemployeesshallbeliablefortheconsequencesfollowingtheapplicationoftheRulesorforanymanagementissuessuchastheappointmentoftheDBexpertsandthedeterminationonterminationoftheDBexpert. Article24ThepartiesshallmakepaymentstotheDBexpertsinordance withtheagreementwiththeDBexpertsregardingtheamountandtimeofpayment.Ifthepartiesfailtomakepayment,theDBmaydecidetosuspendtheDBreview. WhereadministrativecostsandexpensesoftheBACincurinthedisputereview,thepartiesshallmakethepaymentpursuanttotheprovisionsofConstructionDisputeBoardFeeScheduleissuedbytheBAC. Theaforementionedpaymentshallbeequallybornebytheparties,unlessotherwiseagreedbythepartiesorstipulatedbyConstructionDisputeBoardFeeScheduleoftheBeijingArbitrationCommission. Article25ThepowertointerprettheseRulesisvestedintheBAC. Article26TheRulesareeffectiveasofMarch1,2009. 10
